Terms of Use

Quick summary: Use Thinkly for your own personal learning. Don't abuse the platform. Paid subscriptions auto-renew — cancel any time in your device settings. We provide the service as-is and limit our liability as described below.

1Acceptance of terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Allie Ltd, a company registered in the Republic of Cyprus (Registration No. HE 460424, VAT No. 60076104S), with registered address at Emmanouil Roidi 44, Kirzis Center, 3031, Limassol, Cyprus ("Thinkly", "we", "us", or "our"), governing your access to and use of the Thinkly mobile application, website, and all related services (collectively, the "Service").

By downloading, installing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2Eligibility

The Service is intended for users aged 18 and over.

You must be at least 13 years old (or the applicable age of digital consent in your country, which is 14–16 in some EU/EEA member states) to use the Service. If you are under 18 but above the minimum age in your jurisdiction, you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf and assumes responsibility for your use.

By using the Service, you represent and warrant that you meet the eligibility requirements above and that all information you provide is accurate and truthful.

3Account registration

To access personalized features you must create an account. You may register using an email address and password, or via Sign in with Apple or Sign in with Google. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the security of your password and not share your credentials.
  • Promptly notify us at support@thinklyapp.ai if you suspect unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

You may not create more than one account per person, or create an account on behalf of someone else without their authorization.

4Subscriptions & payments

Free and paid tiers

Thinkly offers a free tier with limited access and paid subscription plans ("Premium") that unlock full content and features. Pricing is displayed in the app before purchase.

Auto-renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. Your Apple ID or Google Play account will be charged for renewal within 24 hours prior to the end of the current period.

Cancellation

You may cancel your subscription at any time through your device's account settings (App Store or Google Play). Cancellation takes effect at the end of the current paid period; you retain access until then. We do not provide refunds for the remaining portion of a subscription period, except as required by law.

EU/EEA consumer right of withdrawal

If you are a consumer in the EU/EEA, you may have a statutory right to withdraw from a purchase within 14 days under the Consumer Rights Directive (2011/83/EU). By starting to use paid digital content immediately after purchase, you expressly consent to immediate performance and acknowledge that you may lose your right of withdrawal. Refund requests for App Store and Google Play purchases must be submitted directly to Apple or Google.

Price changes

We may change subscription prices at any time. We will notify you of price changes at least 30 days before they take effect. For active subscribers, price increases will only apply at the next renewal after you have been notified, and you may cancel before that date if you do not accept the new price.

Note: All subscription purchases are processed by Apple App Store or Google Play. Their terms and refund policies apply to your purchase. Thinkly does not handle payment card data directly.

5Permitted use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Service for your own personal, non-commercial learning purposes.

You may:

  • Access lessons, quizzes, and other content for personal educational use.
  • Track your own learning progress and streaks.
  • Share your streak achievements or lesson completions on social media using features provided within the app.

6Prohibited conduct

You agree not to:

  • Copy, reproduce, distribute, or create derivative works of any content from the Service without our prior written consent.
  • Use the Service for any commercial purpose or for any public display, performance, or broadcast.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the app.
  • Use automated tools (bots, scrapers, crawlers) to access or extract data from the Service.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems.
  • Upload or transmit viruses, malware, or any other harmful code.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the Service in any manner that violates applicable laws or regulations.
  • Circumvent, disable, or interfere with security features or access controls.

We reserve the right to suspend or terminate your access immediately if you engage in prohibited conduct.

7Intellectual property

The Service and all its content — including but not limited to lessons, text, graphics, audio, video, icons, and software — are the exclusive property of Allie Ltd or its licensors and are protected by copyright, trademark, and other intellectual property laws.

The Thinkly name, logo, and marks are trademarks of Allie Ltd. You may not use our trademarks without our prior written permission.

Nothing in these Terms transfers any intellectual property rights to you. The limited license granted in Section 5 does not include any right to sublicense.

8User content

The Service currently does not include public user-generated content features. If we introduce such features in the future, we will update these Terms accordingly.

Any feedback, suggestions, or ideas you submit to us (e.g., via in-app ratings or support emails) may be used by us freely to improve the Service without obligation to you.

9Third-party services

The Service integrates with third-party services including Apple App Store, Google Play, Firebase, Adapty, Amplitude, and SendGrid. Your use of those services is governed by their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

Links or references to third-party content within lessons are provided for informational purposes only and do not constitute an endorsement.

10Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any content is accurate, complete, or up to date; (c) the Service will meet your specific requirements.

Lesson content is for general educational and informational purposes only. It does not constitute professional advice (medical, financial, legal, or otherwise). Always seek the advice of a qualified professional for specific guidance.

Nothing in these Terms excludes or limits our liability for matters that cannot be excluded or limited under applicable mandatory law, including, where applicable, your statutory consumer rights under Cyprus and EU law.

11Limitation of liability

To the maximum extent permitted by applicable law, Allie Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from:

  • Your access to, use of, or inability to use the Service.
  • Any content obtained from the Service.
  • Unauthorized access to or alteration of your data.
  • Any other matter relating to the Service.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) €100 EUR.

Nothing in this section limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded under applicable law. If you are a consumer, this section does not affect your statutory rights.

12Indemnification

You agree to indemnify, defend, and hold harmless Allie Ltd and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising from your violation of these Terms or your use of the Service. This obligation does not apply where prohibited by applicable consumer protection law.

13Termination

We may suspend or terminate your access to the Service at any time for material violations of these Terms, for legal reasons, or where required to protect the Service or its users. Where reasonably possible, we will provide you with prior notice. Upon termination, your license to use the Service ends immediately.

You may terminate your account at any time by using the Delete Account option in Profile → Settings, or by contacting us at support@thinklyapp.ai. Deleting your account cancels your subscription access but does not automatically trigger a refund for any remaining subscription period.

Provisions of these Terms that by their nature should survive termination (including Sections 7, 10, 11, 12, and 14) will remain in effect.

14Governing law & disputes

These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict of law provisions. Subject to applicable mandatory consumer protection law, any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus.

If you are a consumer resident in the EU/EEA, nothing in this section deprives you of the protection of mandatory provisions of the law of your country of residence. You retain the right to bring proceedings in the courts of your country of residence, and you may have access to the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Before initiating any legal proceedings, we encourage you to contact us at support@thinklyapp.ai so we can attempt to resolve the dispute informally.

15Changes to these terms

We may revise these Terms from time to time. We will notify you of material changes by posting a notice in the app and updating the "Last updated" date above. For changes that affect your rights or obligations, we will send an in-app notification or email at least 30 days before the new Terms take effect.

If you do not agree to the revised Terms, you must stop using the Service and may delete your account before the effective date. Continued use of the Service after the effective date means you accept the revised Terms.
